Terms of Use IdP 5Cs Clipper

Plain-language draft. This text was prepared to state the position clearly, not by a lawyer. Before the extension is offered to the public, have counsel review it and complete the two bracketed items below (governing law and venue).

These terms apply to the IdP 5Cs Clipper browser extension ("the extension") published by Identity Praxis, Inc.
("Identity Praxis", "we"). By accepting them in the extension, or by using the extension, you agree to them. If you do not agree, do not use the extension.

1. What the extension is

The extension helps you capture web content into destinations you choose: AI twins with an HTTP endpoint, Obsidian vaults, Tinderbox documents, Zotero libraries, and files on your computer. It runs in your browser. Identity Praxis operates no server for it and receives nothing from it.

2. Licence

The extension is licensed under the IdP 5Cs Clipper Licence, version 1.0 (see `LICENSE` and `NOTICE`): free for a
person using it for themselves; an organisation that installs, distributes, requires or recommends it for its
employees, students, members or clients needs a written licence from Identity Praxis. The source is published so you can read it; it is not open source and may not be redistributed. The licence governs copying, modification and redistribution of the code. These terms govern your use of the extension as software. Where the two differ about the code, the licence prevails.

3. Your responsibilities

Your keys and destinations. API keys, endpoints, folders and libraries are entered by you and stored only in your browser. Whatever the extension sends goes only where you configured it. You are responsible for what you send, for the accounts and services you send it to, and for keeping your keys safe.
Content and rights. You are responsible for the content you capture and where you send it, including copyright, licence terms of the pages you clip, terms of the services you send to, confidentiality and privacy of third parties. The extension records what you tell it to record.
AI providers. If you choose an AI provider (a local model, Claude, or an OpenAI-compatible endpoint), the text you ask it to summarise, extract or define is sent to that provider under that provider's terms. A local model keeps it on your machine. Identity Praxis is not a party to your agreement with any provider.
Backups. Clips, history and settings live in your browser's extension storage and in the destinations you chose. Keep your own copies of anything that matters.

4. Privacy

The extension collects no analytics and sends nothing to Identity Praxis. Page content leaves your browser only when you post it to a destination you configured or ask an AI provider you configured. The full statement is in `PRIVACY.md`. By accepting these terms you confirm you have read it.

5. No warranty

THE EXTENSION IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY OR RELIABILITY. Identity Praxis does not warrant that the extension will be error-free, uninterrupted, secure, compatible with any page, browser, service or destination, or that anything it captures, extracts, summarises or defines is accurate or complete. Web pages, browsers and third-party services change without notice; the extension may stop working with any of them at any time.

6. Use at your own risk; limitation of liability

YOU USE THE EXTENSION AT YOUR OWN RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, IDENTITY PRAXIS, INC., ITS OFFICERS, EMPLOYEES AND CONTRIBUTORS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, REVENUE, GOODWILL OR USE, ARISING OUT OF OR IN CONNECTION WITH THE EXTENSION OR THESE TERMS, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF
SUCH DAMAGES. WHERE LIABILITY CANNOT BE EXCLUDED, IT IS LIMITED TO THE AMOUNT YOU PAID IDENTITY PRAXIS FOR THE EXTENSION IN THE TWELVE MONTHS BEFORE THE CLAIM, WHICH FOR THE FREE EXTENSION IS NOTHING.

Some jurisdictions do not allow certain exclusions or limitations; in those places these sections apply to the extent permitted.

7. Indemnity

You will defend and hold Identity Praxis harmless from claims, losses and expenses (including reasonable legal fees) arising from your use of the extension, the content you capture or send, or your breach of these terms.

8. Support

The extension is offered without any obligation of support, maintenance or updates. Support, if any, is at Identity Praxis's discretion, or under a separate written agreement.

9. Trademarks

"IdP 5Cs Clipper", "Identity Praxis" and "The 5Cs of Knowledge Management" are trademarks of Identity Praxis, Inc. These terms and the licence grant no rights to them beyond describing the origin of the work.

10. Changes

We may change these terms. A new version has a new number and date at the top; the extension asks you to accept a new version before continuing. Continued use after acceptance means you agree to the new version.

11. Termination

You may stop using the extension at any time by removing it, which deletes its storage in your browser. We may end these terms if you breach them. Sections 5 to 9 survive.

12. Governing law and venue

These terms are governed by the laws of California, without regard to conflict-of-law rules. Disputes will be brought in the courts of Santa Clara County, CA.
